上周末，科技圈最大的新闻莫过于OpenAI的CEO被自家董事会扫地出门了，消息一经宣布立即在全球引起轩然大波，48小时的反转再反转，足足让各人吃饱了瓜 。
首先进场的是一众段子手：
有的说，AI大模型果真会造成失业 。
有的说，山姆被开除是因为进入了OpenAI的禁地——总部地下室，发明OpenAI的焦点秘密——里面有21700名员工在手动回复ChatGPT收到的提问 。

另有网友脑洞大开，说是因为魔鬼终结者中的剧情成真了（AI天网扑灭人类，人类幸存者穿越回来关闭天网），山姆被开除是因为未来某个ChatGPT要害版本不受控制要扑灭人类，为了拯救众生，山姆不得已穿越时空阻止已往的自己……
瓜虽大，言归正传，周末这场科技圈的大地动确实让人匪夷所思，因为就在两周之前，山姆·奥特曼还主持了OpenAI首届开发者大会，推出了目前最先进的ChatGPT模型GPT-4 turbo，还宣布了GPTs——能够让用户零代码、仅用自然语言就能定制化GPT，并且可以把GPT上传到GPT Store供他人使用，一时间OpenAI惊艳世界 。谁也没想到，仅仅两周之后，OpenAI将会以这种方法再次震惊全球 。

01 奥特曼突遭开除
外地时间11月16日（周四）晚，OpenAI首创人，时任CEO的山姆·奥特曼收到首席科学家伊利亚·萨斯克维尔（Ilya Sutskever）发来的短信，要求周五中午面谈，除了联合首创人兼董事长格雷·布罗克曼（Greg Brockman）之外整个董事会都在场，在这场集会上，奥特曼知晓了自己将被解雇 。

据外洋媒体报道，OpenAI董事会已选择前Twitch首席执行官Emmett Shear担当临时首席执行官，“ChatGPT之父”山姆·奥特曼回归宣告失败 。
而最新的消息则显示，山姆·奥特曼和格雷·布罗克曼双双加入微软，将领导一个高级AI研究团队 。
突然被开除，这件事说究竟，山姆·奥特曼自己应该有很大的责任，因为OpenAI的股权架构是他自己亲自设计的 。
2015年，由伊隆·马斯克和山姆·奥特曼等硅谷大佬出资10亿美金建立了OpenAI Inc.（OpenAI Nonprofit），一家非营利性组织，用来抗衡谷歌支持的DeepMind，目标是让AI造福全人类 。
可是AI的开发实在是太烧钱了，烧不起了就只能融资 。
2019年，在山姆·奥特曼的亲自设计之下，OpenAI Inc.搭建了一家 “有收益上限”的有限合资企业——OpenAI LP，并以此为主体对外融资，凭据协议安排，首创人团队收益上限为100倍，微软的收益上限为5-10倍，其他投资人的收益上限为20倍，员工为10倍 。
整个OpenAI架构有三大特点：
01 首创人兼CEO不持股
作为首创人兼CEO，按理说山姆·奥特曼应该持有大宗的公司股份，但事实上，他一股都没有 。在今年5月16日，山姆·奥特曼在美国参议院关于AI监管的听证会上亲自证实自己并没有持有任何OpenAI的股权，并体现自己在OpenAI领的人为只够买医疗包管，台上的参议员笑着说你应该请个律师，山姆·奥特曼接着说：“我做这件事（OpenAI）只是出于热爱 。”
02 投资人只出资不控制
从2019年开始，微软和OpenAI建立了战略相助关系，今年1月，微软宣布未来将分阶段累计向OpenAI投资130亿美元 。在向OpenAI投入巨资之后，OpenAI的险些所有新功效，都被微软集成到了自家的效劳中去，先是Bing搜索接入了ChatGPT，可以免费试用GPT4.0模型 ；在最新宣布的Win11 23H2版本中，微软推出了全新的AI助手，将AI效劳集成到系统的侧边栏中，并命名为Copilot 。
纵然“豪”如微软，投了这么多钱，其在OpenAI中也只有利润分享的权利，没有董事会席位，也没有控制权 。像开除CEO这样的重大事件，微软治理层也是在消息宣布的前几分钟才得知 。
03 四阶段的利润分派设计
年初《财产》杂志封面文章介绍了OpenAI的架构，凭据文章的介绍，在OpenAI盈利后，利润分派将凭据四个阶段推进：
第一阶段：OpenAI的利润100%分派给以马斯克为首的首批投资人，直到他们收回初始投资本钱，也就是10亿美元 。
第二阶段：首批投资者收回初始资本后，微软将有权获得75%的利润，直至其收回130亿美元的投资本钱 。剩余25%分派给员工以及用来支付首轮投资人的利润上限 。
第三阶段：OpenAI的利润2%归OpenAI Inc.非盈利组织，剩余49%给到微软，直至微软获得920亿美元的利润为止 。与此同时，其他投资者和OpenAI的员工将有权获得另外49%的利润，直至利润抵达1500亿美元为止 。

We designed OpenAI’s structure—a partnership between our original Nonprofit and a new capped profit arm—as a chassis for OpenAI’s mission: to build artificial general intelligence (AGI) that is safe and benefits all of humanity.

Overview

We founded the OpenAI Nonprofit in late 2015 with the goal of building safe and beneficial artificial general intelligence for the benefit of humanity. A project like this might previously have been the provenance of one or multiple governments—a humanity-scale endeavor pursuing broad benefit for humankind.

We committed to publishing our research and data in cases where we felt it was safe to do so and would benefit the public.

We always suspected that our project would be capital intensive, which is why we launched with the goal of $1 billion in donation commitments. Yet over the years, OpenAI’s Nonprofit received approximately $130.5 million in total donations, which funded the Nonprofit’s operations and its initial exploratory work in deep learning, safety, and alignment.

It became increasingly clear that donations alone would not scale with the cost of computational power and talent required to push core research forward, jeopardizing our mission. The OpenAI Nonprofit would remain intact, with its board continuing as the overall governing body for all OpenAI activities.

A new for-profit subsidiary would be formed, capable of issuing equity to raise capital and hire world class talent, but still at the direction of the Nonprofit. Employees working on for-profit initiatives were transitioned over to the new subsidiary.

Over the years, the Nonprofit also supported a number of other public charities focused on technology, economic impact and justice, including the Stanford University Artificial Intelligence Index Fund, Black Girls Code, and the ACLU Foundation.

While investors typically seek financial returns, we saw a path to aligning their motives with our mission. We achieved this innovation with a few key economic and governance provisions:

First, the for-profit subsidiary is fully controlled by the OpenAI Nonprofit. We enacted this by having the Nonprofit wholly own and control a manager entity (OpenAI GP LLC) that has the power to control and govern the for-profit subsidiary.

Shortly after announcing the OpenAI capped profit structure (and our initial round of funding) in 2019, we entered into a strategic partnership with Microsoft. We subsequently extended our partnership, expanding both Microsoft’s total investment as well as the scale and breadth of our commercial and supercomputing collaborations.

Harkening back to our origins, they understand that this is a unique and ambitious project that requires resources at the scale of the public sector, as well as the very same conscientiousness to share the ultimate results with everyone.
